Terms of Service
These Terms govern access to and use of Smith Studio, including the website, authenticated studio, generated graph canvas, conversations, diagnostics, and related services.

1. Agreement
These Terms of Service are a binding agreement between you and Smith Studio. By accessing or using Smith Studio, creating an account, or clicking to accept these Terms, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the service.
If you use Smith Studio for an organization, you represent that you have authority to bind that organization, and "you" includes that organization.
2. The Service
Smith Studio is an AI-assisted workspace for designing, refining, inspecting, and testing multi-agent system graphs. You describe an intended workflow, and the service may generate agents, tools, routes, diagnostics, run traces, repairs, summaries, and other outputs.
Some features may be beta, preview, simulated, experimental, or incomplete. Deployment fields, endpoint labels, latency, cost, readiness, and runtime metrics may be estimates or proof-of-concept values unless we expressly mark them as production-backed.
3. Eligibility and Accounts
You must be at least 18 years old and legally able to enter into these Terms. You are responsible for maintaining the confidentiality of your credentials, restricting access to your account, and all activity under your account. Notify us promptly at security@smithstud.io if you believe your account has been compromised.
You must provide accurate account information and keep it reasonably current. We may suspend or terminate accounts that violate these Terms or create risk for Smith Studio, other users, or third parties.
4. Your Content
You retain ownership of prompts, messages, files, graph requirements, business rules, and other content you submit to Smith Studio. You grant Smith Studio a worldwide, non-exclusive, royalty-free license to host, process, transmit, copy, display, generate from, modify, and create derivative materials from your content as needed to provide, secure, maintain, improve, and support the service.
You represent that you have all rights necessary to submit your content and that your content does not violate law, third-party rights, confidentiality duties, privacy rights, or these Terms.
5. Generated Output
Subject to these Terms and third-party rights, you may use outputs generated for you by Smith Studio, including graph JSON, summaries, recommendations, and workflow descriptions. Because AI systems may produce similar or identical output for different users, Smith Studio does not guarantee that generated output is unique to you.
You are responsible for reviewing, testing, validating, and approving generated output before using it in production or relying on it for decisions. Output may be inaccurate, incomplete, insecure, unsuitable for your context, or based on misunderstood instructions.
6. AI, Automation, and High-Stakes Use
Smith Studio is a design and inspection tool. It is not a substitute for professional judgment, legal advice, medical advice, financial advice, security review, compliance review, or production engineering review.
You must not use Smith Studio or generated output as the sole basis for decisions that could affect legal rights, medical care, financial outcomes, credit, employment, housing, education, public benefits, safety, critical infrastructure, or other high-stakes domains. You must include qualified human review, testing, and approval before any such use.
7. Sensitive Data and Secrets
Do not submit passwords, private keys, access tokens, production secrets, payment-card data, government identifiers, biometric data, health information, children's data, or other highly sensitive or regulated information unless we have signed a separate written agreement that expressly permits that data. You are responsible for redacting or minimizing sensitive content before submitting it.
8. Third-Party Services
Smith Studio may rely on AI model providers, hosting providers, database providers, email providers, logging providers, analytics providers, security providers, and other third-party services. You authorize Smith Studio to transmit your content and related metadata to those providers as needed to provide the service.
Third-party services are governed by their own terms and policies. Smith Studio is not responsible for third-party services, model behavior, provider outages, provider changes, or third-party content.
9. Acceptable Use
You must not use Smith Studio to:
- violate law, regulation, contract, intellectual property rights, privacy rights, or confidentiality duties;
- generate, facilitate, or deploy malware, credential theft, phishing, spam, fraud, evasion, or unauthorized access;
- harass, abuse, discriminate, exploit, or harm another person;
- submit content that you do not have the right to provide;
- submit secrets or regulated sensitive data without written authorization;
- attempt to bypass rate limits, authentication, security controls, or usage restrictions;
- reverse engineer, scrape, crawl, overload, benchmark for competitive purposes, or interfere with the service except as permitted by law;
- misrepresent generated output as human-authored, legally approved, clinically approved, security audited, or production-ready when it is not;
- use the service to make high-stakes decisions without appropriate human review and validation.
10. Smith Studio Intellectual Property
Smith Studio and its licensors own the service, software, interface, design, workflows, documentation, trademarks, and underlying technology. Except for the rights expressly granted to you, we reserve all rights in Smith Studio. You may not remove proprietary notices or use our names, marks, or branding without permission.
11. Feedback
If you provide ideas, suggestions, bug reports, or other feedback, you grant Smith Studio a perpetual, irrevocable, worldwide, royalty-free license to use it without restriction or compensation.
12. Confidentiality
Each party may receive non-public information that a reasonable person would understand to be confidential. The receiving party must use reasonable care to protect confidential information and may use it only to perform under these Terms, except where disclosure is required by law or the information becomes public without breach.
13. Availability and Changes
We may modify, suspend, limit, or discontinue the service or any feature at any time. We may impose usage limits or technical restrictions to protect the service. We do not guarantee that Smith Studio will be uninterrupted, error-free, secure, or available at any particular time.
14. Fees
If paid features are introduced, you agree to pay the fees, taxes, and charges disclosed at purchase or in the applicable order. Unless stated otherwise, fees are non-refundable except as required by law. We may change pricing prospectively with reasonable notice.
15. Suspension and Termination
You may stop using Smith Studio at any time. We may suspend or terminate access if you violate these Terms, create legal or security risk, fail to pay applicable fees, or use the service in a way that could harm Smith Studio, other users, or third parties.
Upon termination, your right to use the service ends. Sections that by their nature should survive termination will survive, including ownership, confidentiality, disclaimers, limitations of liability, indemnity, dispute terms, and payment obligations.
16. Disclaimers
Smith Studio is provided "as is" and "as available." To the maximum extent permitted by law, we disclaim all warranties, express, implied, statutory, or otherwise, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, availability, security, and error-free operation.
We do not warrant that generated output will be accurate, complete, safe, compliant, production-ready, or suitable for your use case.
17. Limitation of Liability
To the maximum extent permitted by law, Smith Studio will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost revenue, lost data, business interruption, security incident, or substitute services, even if advised of the possibility of those damages.
To the maximum extent permitted by law, Smith Studio's total liability for all claims arising out of or relating to the service or these Terms will not exceed the greater of the amount you paid to Smith Studio for the service in the three months before the event giving rise to liability or USD $100.
18. Indemnity
You will defend, indemnify, and hold harmless Smith Studio and its personnel from claims, damages, liabilities, losses, and expenses, including reasonable attorneys' fees, arising from your content, your use of the service, your generated deployments or outputs, your violation of these Terms, or your violation of law or third-party rights.
19. Governing Law and Venue
These Terms are governed by the laws of the State of Delaware, excluding conflict-of-law rules. The state and federal courts located in Delaware will have exclusive jurisdiction for disputes arising from these Terms or the service, except where applicable law requires otherwise.
20. Changes to These Terms
We may update these Terms from time to time. If changes are material, we will provide reasonable notice through the service, by email, or by other means. Updated Terms are effective when posted unless stated otherwise. Your continued use of Smith Studio after changes become effective means you accept the updated Terms.
